These Terms of Service (“Terms”) govern your access to and use of the Thought GPS Creator mobile application and related services (collectively, the “Service”) operated by Thought GPS, Inc. (“Thought GPS,” “we,” “us,” or “our”).

These Terms apply only to the Thought GPS Creator app as currently available on the Apple App Store.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Changes to Terms

We may modify these Terms from time to time. Updated Terms will be posted with a revised “Last updated” date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

3. Account Registration

  • You may be required to create an account to access certain features.
  • You agree to provide accurate and current information.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. User Content

“User Content” means any audio recordings, titles, descriptions, locations, routes, or other materials you create or submit through the Service.

You retain ownership of your User Content, subject to the license granted below.

4.1 License to Thought GPS

By submitting User Content, you grant Thought GPS a worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, display, and distribute your User Content solely for the purpose of operating and improving Thought GPS products and services.

4.2 Your Representations

You represent and warrant that:

  • You own or have permission to use all User Content you submit
  • Your User Content does not violate any law or third-party rights
  • Your User Content is not unlawful, defamatory, or abusive

4.3 Content Moderation

We may remove or restrict access to User Content at our discretion if we believe it violates these Terms or applicable laws.

5. Prohibited Conduct

You agree not to:

  • Use the Service for illegal or harmful purposes
  • Harass, threaten, or abuse others
  • Upload malware or malicious code
  • Interfere with or disrupt the Service
  • Attempt to reverse-engineer or scrape the Service or its data

6. Service Availability

The Service is provided on an “as is” and “as available” basis. Features may change, be added, or removed at any time without notice.

7. Termination

  • You may stop using the Service at any time.
  • We may suspend or terminate access to the Service if you violate these Terms or if required by law.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOUGHT GPS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

10. Indemnification

You agree to indemnify and hold harmless Thought GPS from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Thought GPS regarding the Service.
